These Terms are intended to be enforceable to the maximum extent permitted under the applicable UAE legal framework.
Any dispute, controversy, or claim arising out of or in connection with these Terms, including their existence, validity, interpretation, performance, breach, or termination ("Dispute"), shall be resolved as follows:
(a) Where the User and Veritonix are unable to resolve the Dispute through good-faith negotiation within thirty (30) days of written notice, the Dispute shall be referred to the competent courts of Dubai.
(b) Notwithstanding sub-clause (a), Veritonix may at its sole discretion elect, by written notice given before the commencement of proceedings, that any Dispute shall instead be referred to the exclusive jurisdiction of the Dubai International Financial Centre (DIFC) Courts.
(c) The election under sub-clause (b) constitutes an asymmetric jurisdiction provision, agreed in good faith between commercial parties and intended to be enforceable in accordance with UAE onshore case law concerning asymmetric forum provisions.
(d) Nothing in this clause shall prevent Veritonix from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or other legitimate interests.
(a) Entire Agreement. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Veritonix concerning your use of the Website, and supersede any prior or contemporaneous agreements, representations, or understandings relating to the same subject matter.

(h) No Agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Veritonix.
